Terms of Service

1. Acceptance of Terms

By accessing or using the GGUUAI platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you ("User") and GGUUAI TECH LTD ("Company", "we", "us"), a private limited company registered in England and Wales with company number 17269483.

2. Description of Service

GGUUAI is a proprietary Software-as-a-Service (SaaS) e-commerce operations platform that provides AI-powered tools including but not limited to: intelligent product performance analytics, automated operational diagnostics, daily focus reports, multi-language marketing copywriting, and AI-driven business Q&A. The Service is developed entirely by our technical team using standardized open-source model frameworks as underlying infrastructure.

3. User Accounts

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

4. Subscription and Payment

The Service offers subscription-based pricing plans (Starter, Standard at $199/month, and Professional at $599/month) and a Pay As You Go prepaid usage option with a customer-selected top-up amount. By subscribing to a paid plan or purchasing usage credits, you agree to:

• Pay the applicable subscription fees on a recurring monthly or annual basis
• Pay the selected prepaid top-up amount for Pay As You Go usage credits
• Authorize us to charge your designated payment method at the beginning of each billing cycle
• Subscription fees are non-refundable except as expressly stated in our Refund Policy

Trial accounts are available by contacting our sales team. Trial access is manually approved and provisioned, requires no payment card, and does not automatically convert to a paid subscription. The trial duration and feature scope are confirmed by sales before activation. Paid subscriptions begin only when you actively choose a paid plan and complete checkout.

Pay As You Go top-ups are not subscriptions and do not renew automatically. Usage credits are credited at a rate of USD 1 = 100 credits and are deducted according to the analysis tasks, reports, or usage-based services requested by the customer. Usage credits are software service credits only. They have no cash value, are not stored value or e-money, are not withdrawable, are not transferable, and may be used only inside the GGUUAI SaaS platform.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of others
• Generate content that is harmful, threatening, abusive, or otherwise objectionable
• Attempt to gain unauthorized access to the Service or its related systems
• Resell, redistribute, or sublicense the Service without written authorization
• Use automated systems to access the Service in a manner that exceeds reasonable usage

6. Intellectual Property

The Service, including its original content, features, and functionality, is owned by GGUUAI TECH LTD and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Content generated through the Service for your use belongs to you, subject to our underlying technology rights.

7. Data Processing

We process your data in accordance with our Privacy Policy. By using the Service, you consent to such processing and warrant that all data provided by you is accurate. Production data transmission is protected using HTTPS/TLS encryption.

8. Service Availability

We strive to maintain commercially reasonable availability for the Service. However, we do not guarantee uninterrupted access and may perform scheduled maintenance with advance notice. We shall not be liable for any temporary unavailability due to maintenance, updates, or circumstances beyond our reasonable control.

9. Limitation of Liability

To the maximum extent permitted by applicable law, GGUUAI TECH LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion. Upon termination, your right to use the Service will immediately cease.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law provisions.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
